1. Acceptance of Terms

By downloading, installing, accessing, or using Splitvoice ("the Software"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not download, install, or use the Software. These Terms constitute a binding legal agreement between you ("User" or "You") and Splitvoice ("Company," "We," "Us," or "Our").

2. Eligibility

You must be at least 13 years of age to use the Software. If you are under 18, you must have a parent or legal guardian's consent. By using the Software, you represent and warrant that you meet these requirements. If you are accepting these Terms on behalf of a legal entity, you represent that you have the authority to bind that entity.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Software for your personal or commercial use, depending on the tier you have purchased.

3.1 Free License

The Free tier grants you a limited, non-exclusive, non-transferable license to use the Software for personal, non-commercial purposes only. Free tier features are limited as described on our Pricing page. We reserve the right to modify or discontinue the Free tier at any time without notice.

3.2 Pro License

The Pro tier grants you a limited, non-exclusive, non-transferable, perpetual license to use the Software with all features enabled. This is a one-time purchase that provides lifetime access to the version purchased, including updates released for that version. The Pro license includes a commercial use grant, permitting you to use the output stems in commercial projects, including but not limited to music production, content creation, and remixes.

4. Payment and Pricing

All purchases are processed through our payment partner Gumroad. Prices are listed in US Dollars (USD) and are subject to change. Any applicable taxes, fees, or currency conversion charges are the responsibility of the purchaser. Payment is due at the time of purchase. Once payment is confirmed, you will receive access to download the Software.

5. Refund Policy

We offer a 14-day money-back guarantee on all Pro purchases. If you are not satisfied with the Software for any reason, you may request a full refund within 14 days of the original purchase date. To request a refund, contact us at splitvoiceofficial.support@gmail.com with your purchase receipt. Refunds are processed within 5-10 business days. After the 14-day period, all sales are final.

6. Restrictions

You agree that you will not:

  • Redistribute, resell, lease, license, sublicense, rent, or transfer the Software or any portion thereof to any third party, except as expressly permitted by these Terms.
  • Use the Software for any unlawful purpose or in violation of any applicable local, state, national, or international law.
  • Use the Software to infringe upon the intellectual property rights, copyrights, or moral rights of any third party, including but not limited to separating copyrighted music without authorization from the rights holder.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
  • Modify, adapt, translate, or create derivative works based on the Software itself (as opposed to its output).
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices appearing on or within the Software.
  • Circumvent, disable, or tamper with any security-related features or license enforcement mechanisms.
  • Use the Software in any manner that could damage, disable, overburden, or impair the Software or interfere with any other party's use.

7. User Responsibilities

You are solely responsible for:

  • Ensuring that your use of the Software and any output stems or derived works complies with all applicable laws, including copyright law.
  • Obtaining any necessary permissions or licenses from rights holders before using the Software on copyrighted material.
  • The content you process using the Software. We do not monitor, review, or control the audio files you process.
  • Maintaining the security of your computer and any data you process using the Software.
  • Creating and maintaining backups of your original audio files before processing them with the Software.

8. Intellectual Property

The Splitvoice name, logo, branding, website design, and user interface are the exclusive property of Splitvoice and are protected by trademark, copyright, and other intellectual property laws. The underlying AI models used by the Software (including Demucs and BS-RoFormer) are open-source projects governed by their respective licenses. The output stems generated by the Software are owned by you, the user, subject to any underlying rights held by the original copyright holders of the input audio.

9. Privacy and Data

Splitvoice processes all audio files locally on your computer. No audio data, files, or metadata are uploaded to any server, cloud service, or third party. The Software does not require an internet connection to function after the initial download. We do not collect, store, or transmit any personal information, usage data, or telemetry without your explicit consent. See our Privacy Policy for more details.

10. Third-Party Services

Payments are processed through Gumroad. Your purchase information is subject to Gumroad's privacy policy and terms of service. We are not responsible for any acts or omissions of Gumroad. The Software may include third-party open-source components. Attributions for these components are provided within the Software documentation.

11. Updates and Modifications

We may release updates, patches, or new versions of the Software at our discretion. Pro license holders will receive updates for the version they purchased. We reserve the right to modify, suspend, or discontinue any aspect of the Software at any time, with or without notice. We are not obligated to provide maintenance, support, or updates for any version.

12. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR THAT ALL ERRORS CAN BE CORRECTED. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR QUALITY OF STEM SEPARATION OUTPUT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPLITVOICE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

14. Indemnification

You agree to indemnify, defend, and hold harmless Splitvoice, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Software; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party right, including intellectual property rights.

15. Termination

We reserve the right to terminate or suspend your license to use the Software immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your license to use the Software ceases immediately, and you must cease all use of the Software and delete all copies in your possession. Sections 6 through 18 of these Terms shall survive any termination.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or relating to these Terms or the Software shall be resolved exclusively in the courts located in India. You consent to the personal jurisdiction of such courts.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page, with the "Last updated" date revised accordingly. Your continued use of the Software after any changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall continue in full force and effect. The failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Splitvoice regarding the Software and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written.
